The appointed Secretary shall be responsible for providing secretariat services to the Board and has overall responsibility for the corporate records including minutes.
The Board may agree that a community member with the requisite skills, by six month
rotation, will attend Board meetings and act as minute secretary to allow Board members to fully participate in meetings and play a role in planning and organisational development.
If issues to be discussed require a high level of confidentiality and/or sensitivity, the community member minute secretary may be asked to leave the room.
Job Description
Duties
- Taking Board meeting minutes
- Ensuring Board records and documents are managed and structured effectively in
the Board Google Drive - Create and manage the Board meeting and reporting calendar and communicate to
Red Rattler members, co-founders, staff and the community - Ensure Board submissions and papers are provided to the Board in a timely manner
Create Board meeting agendas in collaboration with the Board Chair - Ensure appropriate Secretariat accountabilities are being met to meet regulator and
legislative requirements - Act as the Public Officer for the Red Rattler
- Demonstrate the requirements as a member of the Red Rattler Board according to
the Board charter and Board Duty Statement - Act according to the Board code of Conduct at all times
- Contribute to Board sub-committees as required
Key Internal Relationships
- The Board Chair – Collaborate to create the Board operating rhythm and templates
for paper submission and decision making. - The Board Treasurer – Receive audited financial statements to lodge with the
Department of Fair Trading. Receive membership payment status and register to
manage contact details and for distribution of communication. - The Board – Lead the calendar for Board meetings and operating rhythm activities.
- Red Rattler Members – The point of contact for submissions to the Board, Board
meeting minutes and AGM and community meeting invitations. - Red Rattler Co-founders – The point of contact for submissions to the Board, Board
meeting minutes and AGM and community meeting invitations. - Red Rattler paid staff – Point of contact for Board operating rhythm requirements,
Board paper submissions and minutes for actioning.

- Artist Advisory Committee – The point of contact for submissions to the Board, Board

Board, Board meeting minutes and AGM and community meeting invitations via the
Artist Advisory Committee. - Media outlets and independent press – Point of contact for media enquiries and
direct to appropriate representative. - Government at all levels (Federal, State and Council) – Public Officer and point of
contact for regulator information requests and actions. - Banks and financial institutions – Is a signatory on red Rattler accounts and has
appropriate visibility and access of mortgage and other bank accounts as required.
